Terms of Service

1. Introduction & Acceptance

Welcome to AG/ES ("AG/ES", "we", "us", or "our"). AG/ES is a quiet-luxury essentials house designing premium resortwear, looper-knit cotton hosiery, and timeless wardrobe pieces. These Terms of Service ("Terms") form a legally binding agreement between you ("you", "the customer", "the user", or "the visitor") and AG/ES, governing your access to and use of the AG/ES website, mobile-friendly experiences, concierge channels (WhatsApp, Instagram, email, telephone), the AG/ES Concierge AI assistant, and all related services (collectively, the "Services").

By visiting, browsing, registering for, or purchasing from the Services, you confirm that you have read, understood, and agreed to be bound by these Terms in their entirety, together with our Privacy Policy, our Shipping & Returns commitments, and any campaign-specific terms presented at the point of sale. If you do not agree with any part of these Terms, you must discontinue use of the Services immediately.

These Terms are written in plain English so that they may be read calmly and clearly. Where ambiguity exists, the Terms shall be interpreted in good faith, in line with the editorial spirit and intent of AG/ES as a quiet, considered fashion house. AG/ES reserves the right to refuse service, terminate accounts, cancel orders, and remove content in its sole discretion where these Terms or applicable law are violated.

These Terms shall be considered an electronic record in accordance with the Information Technology Act, 2000 (India) and the rules made thereunder, and the amended provisions pertaining to electronic records in various statutes as amended by the Information Technology Act, 2000. This electronic record is generated by a computer system and does not require any physical or digital signature to be valid and enforceable.

2. The House — About AG/ES

AG/ES is a clothing house headquartered in India, designing premium resortwear, sleeveless silhouettes, and quiet-luxury essentials produced in limited, considered runs. AG/ES emphasises slow design, refined material choices, and editorial styling. Our hero piece is The Essential Tank, crafted from premium looper-knit cotton hosiery — a fabric known for its soft drape, breathability, and structured fall.

The trade name "AG/ES", the wordmark "A G / E S", the studio mark, the embroidered house monogram, the typography, the campaign photography, the editorial direction, the website design, the colour palette (charcoal, bronze, cream), and the overall visual identity are the intellectual property of AG/ES and are protected by copyright, trademark, and applicable design rights.

Nothing on the Services should be interpreted as conferring any licence, ownership, or right to use any of these elements without express written permission from AG/ES. Editorial commentary, personal styling, and tasteful organic mentions are warmly welcomed, but commercial reproduction is not permitted.

3. Eligibility

You may use the Services only if you are at least eighteen (18) years of age and capable of forming a legally binding contract under the laws of your jurisdiction. By using the Services, you represent and warrant that you meet these eligibility requirements and that all information you provide is true, accurate, current, and complete.

If you are using the Services on behalf of a company, partnership, studio, or any other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms. References to "you" shall include that entity.

AG/ES reserves the right to verify identity, age, and contact details where a purchase, return, or concierge engagement appears unusual, fraudulent, or contrary to the spirit of the house.

4. The Services — Browsing, Concierge & Purchasing

The Services include: (a) the AG/ES website featuring editorial campaign content, look books, product pages, and the studio journal; (b) the AG/ES Concierge AI assistant, an automated assistant designed to answer questions about fits, fabrics, sizing, care, and availability; (c) direct concierge channels including WhatsApp at +91 70393 60331, Instagram at @theageswear, email at clothingages@gmail.com, and telephone calls; and (d) order placement, confirmation, fulfilment, and after-sale support.

Purchases from AG/ES are completed primarily through our concierge channels. When you click an in-product call-to-action such as "Buy Now via WhatsApp" or "Enquire", you are routed to a private one-to-one conversation with the house. Pricing, availability, sizing, dispatch timelines, payment methods, and any made-to-order considerations are confirmed in that conversation before any binding order is placed.

Until AG/ES sends you an explicit written confirmation of acceptance (including order reference, dispatch estimate, and total payable), no binding contract of sale exists. AG/ES reserves the right, in its sole discretion, to accept or decline any order or any part of any order, without obligation to provide reasons. Where an order is declined, any sums received will be refunded to the original payment instrument within a reasonable period.

5. Pricing, Payment & Taxes

Prices are quoted in Indian Rupees (INR) unless otherwise indicated and may be presented as "On Request" for selected pieces, made-to-order silhouettes, or limited editorial drops. Prices may change at any time without notice; however, any change shall not affect orders that AG/ES has expressly accepted in writing before the change.

All prices are inclusive of applicable indirect taxes such as Goods and Services Tax (GST) unless otherwise stated. Customs duties, import taxes, levies, or any other charges imposed by destination-country authorities on international orders are the sole responsibility of the customer and are not collected by AG/ES.

Payment may be accepted via UPI, bank transfer, supported card networks, or other instruments confirmed by the concierge at the point of sale. AG/ES reserves the right to delay dispatch until full payment has been received and cleared. AG/ES does not store full payment-card details on its own systems; payments processed through third-party processors are subject to the respective processor's terms and security commitments.

If any payment is reversed, charged back, or otherwise rendered invalid after dispatch, AG/ES reserves the right to recover the value of the pieces, including reasonable administrative and recovery costs, in accordance with applicable law.

6. Shipping, Delivery & Risk

AG/ES dispatches orders from India through reputable logistics partners. Indicative delivery timelines for domestic orders are three (3) to six (6) business days from dispatch, and for international orders, seven (7) to twenty-one (21) business days from dispatch, subject to destination, customs clearance, and force-majeure events.

Title and risk of loss for the pieces pass to you upon delivery to the address you have provided. It is your responsibility to ensure the delivery address is accurate, accessible, and monitored. AG/ES is not liable for losses arising from incorrect address details, refusal to accept delivery, or repeated delivery failures.

Where a parcel is reported lost or significantly delayed, AG/ES will, in good faith, coordinate with the logistics partner to investigate, locate, and where possible, expedite resolution. AG/ES reserves the right to await formal investigation outcomes from the logistics partner before issuing replacements or refunds.

7. Returns, Exchanges & Refunds

AG/ES designs each piece with care and dispatches each order after quality checks. We accept returns and exchanges in line with the considered nature of the house: requests must be raised within seven (7) days of delivery through the concierge channels, with the piece unworn, unwashed, with all original tags and packaging intact, and accompanied by proof of purchase.

Made-to-order pieces, altered pieces, intimates, and limited-edition drops marked as final sale are not eligible for return or exchange except where the piece is materially defective or has been mis-shipped.

Approved refunds are processed to the original payment instrument within a reasonable period after the returned piece is received, inspected, and accepted. Original shipping fees are non-refundable. Return shipping is at the customer's cost unless the return arises from a defect, mis-shipment, or other fault attributable to AG/ES.

8. Product Descriptions, Imagery & Colour

AG/ES makes reasonable efforts to describe pieces accurately and to present campaign imagery faithfully. However, fabrics behave organically; minor variations in tone, weave, drape, and finish are inherent to premium hosiery and are not considered defects.

Colour reproduction depends on your device, display calibration, and ambient lighting conditions. Visual representation on the Services is for editorial reference only and does not constitute a binding warranty of exact appearance.

All editorial copy is part of the AG/ES creative direction. Information regarding sizing, drape, and styling is provided as guidance; final fit decisions rest with the customer and may be discussed with the concierge prior to purchase.

9. AG/ES Concierge AI Assistant

The AG/ES Concierge AI assistant is an automated conversational interface that uses third-party large-language-model technology. It is designed to share general information about the house, fits, fabrics, care, and availability, and to gently route purchase intent to the concierge channels.

The Concierge does not store identifiable personal information beyond the conversation context required to respond to you in the moment, and it does not perform binding transactions, accept payment, or confirm orders. Any responses generated by the Concierge are indicative and shall not be treated as a binding statement by AG/ES.

You agree not to attempt to manipulate, jailbreak, prompt-inject, scrape, mass-query, automate, or otherwise abuse the Concierge. AG/ES may rate-limit, suspend, or disable Concierge access where misuse, abnormal traffic patterns, or security risks are detected.

10. Acceptable Use

You agree to use the Services lawfully, respectfully, and in a manner consistent with the editorial dignity of the house. Without limitation, you shall not: (i) attempt to gain unauthorised access to any portion of the Services or its underlying systems; (ii) introduce viruses, malware, trojans, worms, or other malicious code; (iii) interfere with the integrity, availability, or performance of the Services; (iv) reverse-engineer, decompile, or attempt to derive the source code of any software or model that powers the Services, except as expressly permitted by law; (v) scrape, harvest, or systematically copy editorial content, photography, copy, or product data; (vi) impersonate any person or entity, including AG/ES staff; or (vii) use the Services to transmit unlawful, harassing, defamatory, hateful, infringing, sexually explicit, or otherwise objectionable content.

AG/ES reserves the right to investigate, suspend, terminate, and report any conduct that violates this Acceptable Use clause to relevant authorities.

11. Intellectual Property

All content on the Services, including but not limited to text, photography, video, illustrations, look books, journal articles, music, typography, colour systems, the AG/ES wordmark, monogram, and any composite works, are owned by or licensed to AG/ES and are protected by Indian and international intellectual-property laws.

You are granted a limited, revocable, non-exclusive, non-transferable licence to access and view the Services for personal, non-commercial styling reference only. Any other use — including reproduction, redistribution, public display, modification, derivative works, training of machine-learning models, or commercial exploitation — is strictly prohibited without prior written consent from AG/ES.

If you submit reviews, suggestions, images, or other content to AG/ES ("Submissions"), you grant AG/ES a worldwide, perpetual, royalty-free, sub-licensable licence to use, reproduce, adapt, publish, and distribute such Submissions for the purpose of operating, marketing, and improving the Services, with attribution where reasonable.

12. Third-Party Services & Links

The Services may include links or integrations with third-party platforms, including but not limited to WhatsApp, Instagram, Google, payment processors, logistics providers, analytics providers, and AI gateways. AG/ES does not control these third parties, does not endorse their content, and is not responsible for their privacy practices, terms, or service availability.

Your interactions with third-party services are governed by their respective terms and policies. AG/ES recommends that you review them carefully.

13. Disclaimers

To the maximum extent permitted by law, the Services are provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, statutory, or otherwise, including any warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted operation.

AG/ES does not warrant that the Services will be error-free, secure, free from interruption, or that defects will be corrected. AG/ES does not warrant the accuracy, completeness, or timeliness of any information provided through the Services, including AI-generated content.

14. Limitation of Liability

To the maximum extent permitted by applicable law, AG/ES, its affiliates, officers, employees, designers, contractors, and service providers shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to loss of profits, loss of data, loss of goodwill, business interruption, or any intangible loss, arising out of or in connection with your use of the Services, even if AG/ES has been advised of the possibility of such damages.

To the maximum extent permitted by law, the aggregate liability of AG/ES for any and all claims arising out of or in connection with the Services shall not exceed the total amount actually paid by you to AG/ES for the specific piece or transaction giving rise to the claim in the three (3) months preceding the event giving rise to the claim.

15. Indemnification

You agree to defend, indemnify, and hold harmless AG/ES and its affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your use or misuse of the Services; (b) your violation of these Terms; (c) your violation of any rights of a third party, including intellectual-property or privacy rights; or (d) any content you submit, post, or transmit through the Services.

16. Force Majeure

AG/ES shall not be liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, epidemics, government actions, war, civil unrest, strikes, fabric or material shortages, logistics-network failures, internet outages, third-party service disruptions, or cyber-attacks.

17. Suspension & Termination

AG/ES may suspend or terminate your access to the Services at any time, with or without notice, for any conduct that AG/ES, in its sole discretion, believes violates these Terms or is harmful to other users, to AG/ES, to third parties, or to the integrity of the Services.

Upon termination, all rights granted to you under these Terms shall immediately cease. Provisions that by their nature should survive termination shall survive, including but not limited to Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, and Governing Law.

18. Modifications to the Terms

AG/ES may revise these Terms at any time at its sole discretion. The most current version will always be posted on the Services with the updated effective date. Material changes will be highlighted where reasonable. Your continued use of the Services after such changes constitutes your acceptance of the revised Terms.

19. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict-of-law principles. Subject to the dispute-resolution clause below, the courts at Mumbai, Maharashtra shall have exclusive jurisdiction over any disputes arising out of or in connection with these Terms or the Services.

20. Dispute Resolution

In the spirit of the house, AG/ES prefers to resolve disputes calmly and directly. Before initiating any formal proceedings, you agree to first contact AG/ES at clothingages@gmail.com with a clear written description of the dispute and to allow a reasonable period of at least thirty (30) days for good-faith resolution.

If the dispute cannot be resolved amicably, it shall be referred to and finally resolved by arbitration under the Arbitration and Conciliation Act, 1996. The seat of arbitration shall be Mumbai, India. The language of arbitration shall be English. The arbitral award shall be final and binding on both parties.

21. Severability, Waiver & Entire Agreement

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions. The failure of AG/ES to exercise or enforce any right or provision shall not constitute a waiver of such right or provision.

These Terms, together with the Privacy Policy and any policies referenced herein, constitute the entire agreement between you and AG/ES regarding the Services and supersede all prior or contemporaneous communications and proposals.
